Frequently asked questions.
What is the difference between a SARL and a SARL-S?
The SARL-S (simplified SARL) is reserved for individuals: share capital of €1 to €12,000, no notary. It cannot be a holding company. The SARL requires at least €12,000 of capital and a notarial deed. It is open to all shareholders, including companies, and can be a holding company.
What does the flat fee include?
The first meeting, tailored articles of association, coordination with the notary where the legal form requires it, filing with the Luxembourg Trade and Companies Register (RCS) and publication. Third-party costs (notary, RCS, publication) are shown separately and passed on at cost.
How long does it take to set up my company?
As a rough guide, allow one to three weeks between the first meeting and registration, depending on the legal form, the notary's availability and, where applicable, the business licence.
Do I need a business licence?
Most commercial and craft activities, as well as some liberal professions, require a business licence (autorisation d'établissement) before starting. We can handle the application for you as an option.
